K2 Holding changes its name to Fabrity Holding to reflect the evolution of the business

K2 Holding S.A. has been renamed Fabrity Holding S.A. The change, which has been passed by the shareholders in a general meeting and has been registered by the Polish National Court Register, reflects the leading role of the group’s software development business Fabrity Sp. z o.o. and a review of the strategic options for the group’s marketing companies.

“Fabrity Software House is now our main growth driver, our largest and most profitable business. For this reason, we want the name of the entire group listed on the Warsaw Stock Exchange (WSE), and therefore relevant also from the investors’ point of view, to reflect the dominant role that Fabrity has already achieved when it comes to the financial results, as well as the strategic importance of the software business for the further development of the group. Of course, the marketing companies (K2 Create and K2 Precise) will continue to operate under the K2 brand, which is well-known and respected in the industry. We are not planning any additional rebranding,” says Paweł Wujec, CEO of Fabrity Holding S.A.

As a consequence, the stock ticker symbol under which the company shares are listed on the WSE will change: K2H will be replaced by FAB.

In the last year, Fabrity Software House’s operating revenue accounted for nearly 70% of the operating revenues of the entire group, while Fabrity Software House’s clean consolidated operational profit approached 74%. Fabrity’s YOY growth continues to be strong: in 2022 operational revenue was up by 34%, while EBIT was up by 45% YOY. When compared with 2019, operational revenue of the company grew by 187% and its operational profit by 248%.

“Fabrity has been consistently pursuing an effective international growth strategy. We have ambitious goals, satisfied and loyal clients, and an untapped potential for long-term growth,” comments Tomasz Burczyński, Vice President of Fabrity Holding S.A. and CEO of Fabrity Sp. z o.o.

At the last general meeting, the shareholders of the group also decided to pay a dividend of PLN 6 per share from the 2022 profit. This amounts to an additional PLN 4 per share, if we consider the advance payment made last October. The right to the dividend was established on July 4 this year and will be paid on October 4.

“The very good financial situation of the group has allowed us to pay out to our shareholders a total dividend of PLN 12.40 per share in 2021–2022. Record-breaking dividends are of course related to the sale of Oktawave, a cloud company, but also the current business activities of the group create the potential for the payment of satisfactory dividends,” underlines Artur Piątek, Vice President of Fabrity Holding S.
